Terms of Service

1. Acceptance of Terms

By creating an account or using Arklēon ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. The Service is operated by Arklēon ("we", "us", "our").

2. Description of Service

Arklēon is a market sentiment analytics dashboard that provides AI-generated analysis, sentiment scoring across U.S. equity sectors, and related financial data visualizations. Sentiment scoring runs one pass per day; it is not a real-time system. The dashboard is available in free and paid tiers (Arklēon Free, Arklēon Pro). Arklēon also operates a data API. The API serves as-reported figures drawn from public SEC EDGAR filings, keyed to the date each filing became public, including values that later filings revised. It returns numeric facts, filing and company metadata, and the lineage that links a figure to the filing it came from. It does not return market prices, analyst estimates, narrative disclosure, or derived analytics, scores, or signals. Source filings are ingested periodically rather than continuously, so the API is not a real-time filing feed. Programmatic access requires an API key issued to your account and is subject to per-key rate limits and daily volume limits that we set and may change. Where we issue a key under a separate written agreement, that agreement governs your use of the API to the extent it differs from these terms.

3. Not Financial Advice

The Service provides data and AI-generated analysis for informational purposes only. Nothing on Arklēon constitutes investment advice, financial advice, trading advice, or any other sort of advice. You should not treat any of the Service content as such. Arklēon does not recommend that any securities be bought, sold, or held by you. Do your own due diligence and consult your financial advisor before making any investment decision. Sentiment scores, forecasts, and AI-generated content may contain errors, hallucinations, or outdated information. Trading and investing in financial instruments involves substantial risk of loss and is not suitable for every investor.

4. User Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 18 years old to use the Service. We reserve the right to suspend or terminate accounts that violate these terms.

5. Subscription and Payments

Paid features are billed through Stripe. By subscribing to Arklēon Pro, you authorize recurring charges to your payment method. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Refunds are handled on a case-by-case basis at our discretion. We reserve the right to change pricing with 30 days' notice to active subscribers.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse-engineer, scrape, or systematically download data from the Service; (c) share account credentials or API keys with third parties; (d) use automated tools to access the Service beyond normal browser usage; (e) redistribute, resell, or commercially exploit Service content, including data obtained through the API, without written permission; (f) attempt to circumvent feature gating, rate limits, or usage limits, including by holding or coordinating more than one account or key to obtain more than your own limits allow. Authorized programmatic access under a valid API credential issued by us, within documented rate limits, is permitted and is not "scraping," "systematic downloading," or "automated tools" within the meaning of this section; unauthorized automated access remains prohibited. That authorization does not license anything in (e).

7. Intellectual Property

The Arklēon software, design, code, sentiment models and scoring methodology, written content, and AI-generated analysis are the intellectual property of Arklēon or its licensors. We also claim rights, to the extent they exist under applicable law, in our compilations and databases: the selection, arrangement, normalization, and structure of the data we assemble, and the revision history we preserve, which records which filing superseded which and what a figure was understood to be on a given date. We do not claim ownership of the underlying facts. Those figures are public, and nothing in these terms stops you from obtaining the same filings from the SEC or any other source and doing as you wish with what you obtain there. The restrictions in Section 6 are contractual: they rest on this agreement and on our own work, not on any claim to own a public fact. Market data is sourced from third-party providers and is subject to their respective terms. You retain ownership of any content you submit through the Service.

8. AI-Generated Content Disclaimer

The Service uses artificial intelligence (including third-party AI models) to generate market analysis, news summaries, sector insights, and ticker information. AI-generated content may be inaccurate, incomplete, or outdated. AI may hallucinate facts, statistics, URLs, or company details. You are solely responsible for verifying any information before acting on it. We make no guarantees about the accuracy, reliability, or completeness of AI-generated content.

9. Limitation of Liability

To the maximum extent permitted by law, Arklēon and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, or other intangible losses, resulting from: (a) your use or inability to use the Service; (b) any investment decisions made based on Service content; (c) any unauthorized access to your account; (d) any errors or omissions in Service content, including AI-generated content. Our total liability shall not exceed the amounts you paid us in the twelve months preceding the claim, or one hundred U.S. dollars, whichever is greater. Nothing in this section limits or excludes our liability for gross negligence, willful or wanton misconduct, fraud, or any other liability that applicable law does not permit us to limit or exclude. If any part of this section is held unenforceable, the rest of this section still applies.

10. Indemnification

You agree to indemnify and hold harmless Arklēon from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any rights of a third party.

11. Modifications

We reserve the right to modify these terms at any time. Material changes will be communicated via the email associated with your account. Continued use of the Service after changes constitutes acceptance.

12. Governing Law

These terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Mercer County, New Jersey.
